Key takeaways

  • The $1.21 distribution is 188.1% above the previous $0.42 payment and includes a one-time special dividend.
  • The forward annual dividend is $1.84, equivalent to $184.00 of annual income for 100 shares.
  • The dividend uses 29% of earnings and carries an A safety grade with a score of 94.
  • The 2.80% forward yield is below the Financial Services sector median of 5.90%.

ACNB Corporation declared a quarterly distribution of $1.21 per share, a 188.1% increase from the previous $0.42 payment, with the jump driven by a one-time special dividend. The shares trade ex-dividend on December 1, 2026, and the payment is due December 15, 2026.

Why the dividend changed

The special dividend is a capital-return decision, not a reset of the entire recurring payout to $1.21. ACNB is combining a higher regular quarterly dividend with a one-time distribution, so investors should distinguish the current cash payment from the company’s forward annual dividend of $1.84.

Chief Executive James P. Helt said the board’s action reflected “the exceptional financial strength our Company has demonstrated over the past several years.” He also said ACNB intended to preserve the capital, liquidity and balance-sheet strength needed for growth and community banking operations. The declaration followed ACNB’s strongest quarterly earnings performance on record. Third-quarter net income was $15.7 million, or $1.55 per diluted share, compared with $15.2 million, or $1.49 per diluted share, in the preceding quarter. Net interest income rose to $34.8 million as loan growth and the reinvestment of maturing loans and securities at higher rates supported revenue. The fully taxable-equivalent net interest margin held at 4.56%. ACNB’s third-quarter results

Capital also remained substantial. ACNB reported a common-equity Tier 1 ratio of 15.01% and a total risk-based capital ratio of 16.81% at quarter-end. Management said it achieved modest loan growth and solid core funding growth, while an increase in credit reserves was primarily tied to an isolated borrower rather than broader portfolio weakness. Those earnings and capital conditions explain the board’s ability to make an additional one-time distribution.

Dividend track record

The special payment interrupts an otherwise measured pattern of quarterly increases. Recent distributions moved from $0.32 in November 2024 to $0.34 in early 2025, $0.38 by December 2025 and $0.42 in September 2026. The $0.92 payment in June 2026 also included a special distribution, showing that the December payment is the second unusually large quarterly payout in the recent record.

Full-year payments rose from $1.00 in 2020 to $1.03 in 2021, $1.06 in 2022, $1.14 in 2023, $1.26 in 2024 and $1.38 in 2025. The annual increases accelerated from 3.0% in 2021 to 10.5% in 2024 before easing to 9.5% in 2025. ACNB has increased its dividend for 8 consecutive years, with 6.3% annual growth over the past five years. No annual cut is recorded in that period.

The pattern is important because the latest 188.1% increase overstates the change in recurring income. Most of the immediate jump reflects the special dividend, while the $1.84 forward annual rate is the more relevant measure of ongoing income.

Is the dividend covered?

The dividend consumes 29% of earnings. That leaves most reported profit retained for lending, capital requirements, credit costs and other corporate needs. A free-cash-flow payout ratio is not used here because cash-flow measures are less informative for banks, whose deposits, loans and securities are operating assets and liabilities.

SmarterDividends rates the dividend A, with a safety score of 94. That falls within the “very safe” range of 80-100. The grade reflects strong earnings coverage and a long record of increases, but it applies more directly to the regular dividend than to special payments, which remain discretionary.

Yield and valuation

The $1.84 forward annual dividend produces a 2.80% yield at a $65.40 share price. That is below the Financial Services sector median forward yield of 5.90%. The lower yield means ACNB provides less current recurring income than the sector median, even after accounting for the higher regular dividend.

A holder of 100 shares would receive $184.00 in annual income at the forward rate. The shares have recorded a 35.1% gain over the past year, which has reduced the yield that new investors receive at the current price.

SmarterDividends estimates fair value at $88.23 and classifies the shares as undervalued, representing 35% upside to that estimate. The fair-value assessment is separate from dividend safety and does not assume that the $1.21 special-inclusive payment will repeat.

What to watch

The immediate milestone is the December 1, 2026, ex-dividend date, followed by payment on December 15, 2026. Because the current distribution includes a special component, the subsequent declaration will clarify the recurring quarterly baseline.

Investors can also monitor whether ACNB sustains its net interest margin, core deposit growth and credit quality. The latest quarter included higher net interest income and modest loan growth, but management also disclosed an isolated commercial credit issue and lower mortgage-sale income tied partly to rate volatility. Capital deployment is another relevant measure. Earlier in 2026, the board paired a special dividend with a new share-repurchase authorization and said repurchases would depend on capital, liquidity, financial performance and alternative uses of funds. ACNB’s capital-allocation announcement Future earnings reports will show how the bank balances dividends, repurchases, lending opportunities and capital retention after this special payment.
